These terms are an agreement between EngageCycle ("we", "us") and the business that creates an EngageCycle account ("you"). By creating an account or using EngageCycle, you agree to them. If you use EngageCycle for a business, you confirm you have authority to agree for that business.
What EngageCycle does
EngageCycle is software for businesses with recurring clients. You use it to build proposals, send them to your clients, publish offers that new customers can answer and sign, collect electronic signatures, and send the results to your other systems. Your clients and prospects who view or sign a proposal are "signers" in these terms.
We provide the software. We are not a party to any agreement between you and your clients, and we don't review, approve, or guarantee the documents you send.
Your account
- Keep the information on your account accurate, including your business name, contact details, and postal address.
- You are responsible for everyone you invite to your account and for what they do in it. Each person signs in with their own login and two-step verification.
- Tell us right away at [email protected] if you think someone has used your account without permission.
Your content and your clients' information
- You own what you put into EngageCycle: your templates, prices, client lists, and the proposals you send ("your content").
- You give us permission to store, process, and display your content only as needed to run EngageCycle for you, keep it secure, and support you.
- You are responsible for having the right to contact the people you send proposals and email to, for the accuracy of your prices and documents, and for following the laws and professional rules that apply to your business, including email marketing laws.
- How we handle personal information is described in our Privacy policy.
What you may not do
- Enter government identification numbers (such as Social Security, tax ID, passport, or driver's license numbers) or financial account, routing, or card numbers into proposals, templates, notes, or any other field. EngageCycle has no field for them by design.
- Send spam, or email people who haven't agreed to hear from you or have asked you to stop.
- Use EngageCycle for anything unlawful, deceptive, or harmful, or to send content you don't have the right to send.
- Try to get into another business's data, test or bypass our security, or overload the service.
- Copy, resell, or reverse engineer EngageCycle, except as the law allows.
We may pause sending, offers, or an account that breaks these rules, puts other customers or our email reputation at risk (for example, high bounce or spam complaint rates), or is the subject of a legal request. We'll tell you why unless the law or a security concern prevents it.
Electronic signatures
EngageCycle records each signature with the signer's name and email, the time, the IP address and device, the link used, and a fingerprint (a SHA-256 hash) of the exact document signed, and it produces a signed PDF with an audit certificate. Signed documents can't be changed afterward; changes create a new version.
You decide whether an electronic signature is appropriate for each document you send. Some documents and some situations may require a different form of signature or consent. We don't provide legal advice about your documents.
Plans, proposals, and payment
- Plans are billed once a year in advance, and each plan includes a number of credits for the plan year. A credit is used the first time a proposal, engagement letter, consent, or walkthrough reaches a client, as described on our pricing page. A walkthrough (one or more documents a client goes through, one step at a time, from one link) uses one credit, however many documents are in it. A corrected version that replaces one you sent doesn't use a credit, unless the one it replaces was withdrawn and its credit given back.
- On plans with a price for extra credits, extras are billed monthly at that plan's price, up to the monthly cap you set. On plans with packs, you buy packs of credits before sending; packs last 12 months from purchase.
- Included credits don't roll over to the next plan year.
- Prices are shown on our pricing page. We'll give you at least 30 days' notice of a price change, and it applies from your next plan year.
- Sales tax may be added where it applies.
- Except where the law requires otherwise or we say so in writing, payments are not refundable. A credit used on something withdrawn before the client opens it is given back.
- We may offer free trials, design partner accounts, or other no-charge access. We can change or end no-charge access with reasonable notice.
Cancellation and your records
You can cancel at any time; your plan runs to the end of the period you paid for and doesn't renew. After cancellation, new sends stop, and your signed proposals, certificates, and PDFs stay readable and downloadable for 7 years after your account closes. After that they are deleted.
We may end your account for a serious or repeated breach of these terms, or if you don't pay. Where we can, we'll give notice and a chance to fix the problem first.
Availability and changes to the service
We work to keep EngageCycle available and secure, but we don't promise it will be uninterrupted or error free. We may change, add, or remove features. If we remove something you rely on that's part of your paid plan, we'll tell you in advance.
Disclaimer
Except as stated in these terms, EngageCycle is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim relating to EngageCycle is limited to the amount you paid us in the 12 months before the claim arose.
Indemnity
You'll defend and hold us harmless against claims by third parties arising from your content, the documents you send, or your breach of these terms or the law.
Changes to these terms
We may update these terms. For a material change, we'll email the account owner at least 30 days before it takes effect. Continuing to use EngageCycle after that means you accept the change.
General
These terms are governed by the laws of the State of Indiana, and any dispute will be brought in the state or federal courts located in Vanderburgh County, Indiana. If any part of these terms can't be enforced, the rest still applies. These terms, the privacy policy, and any order form or written agreement we sign with you are the whole agreement between us.
